Newsletter 1 (the first). June 2006

At the Parish Meeting held at the Ferrycarrig Hotel on 14th March 2006, the following Committee was elected:

Unfortunately, shortly after that meeting Bee McDonald re-considered and due to a heavy work-load and young family, she felt that she would have to resign. Our thanks to her for the work she did with the Steering Committee.

The Committee has been meeting each two weeks. The priority has been the drafting of a Constitution and then to be followed by the application for Charity Status. This is going to take some three months. We have had a number of meetings with Mr John O’Leary of O’Connors, Solicitors. A final version of the Constitution, reflecting all the issues which we discussed with him, has just been received on 26th May 2006. The Constitution had unanimous approval at a Committee meeting on 6th June 2006. A Parish meeting has been arranged on 20th June to ratify and adopt this Constitution.

In early March it became known that the Crossabeg-Ballymurn GAA were looking for two additional pitches. An exploratory meeting, between delegates from Crossabeg-Ballymurn GAA and the Steering Committee held on 8th March 2006, has resulted in a unanimous vote at a CrossabegBallymurn GAA EGM to their deciding to join in the development of the Community Centre. Basically their requirement will be for two pitches and change room facilities.

At the start, the gift of a site was made for all in the Community in Crossabeg Parish. The participation of Crossabeg-Ballymurn GAA is now to be welcomed. The New Centre will be open to all in the two Parishes. In order to avoid the necessity of further Parish meetings to ratify any name change, the Committee has decided to proceed under the auspices of "Crossabeg Community & Sports Centre". The way is open in the Constitution for a name change of the Centre, which could include ‘Ballymurn’ at a later date.

Meantime, some discussion has taken place on possible facilities which might be included. A delegation from Child Care discussed their position at a meeting on 11th April. Their position and funding are different and would require separated facilities. No decision by this group has yet been made to this Committee. A delegation from the Youth Club put their position to the Committee on 25th April. Their ideas can mostly be incorporated into any new building.

Suggestions for a hydrotherapy unit have been received. Other items being looked at are, tennis courts, all weather pitch, athletic track, and building to include function room, gym, sports hall, etc.

It is intended to use this website for a monthly up-date of the progress of the project.

Constitution

of

Crossabeg Community & Sports Centre

1. Name:

The name of the body is CROSSABEG COMMUNITY & SPORTS CENTRE ("the Body"). .

2. Main Object:

The main object for which the body is established is to provide community sporting, religious, social and recreational facilities in the Crossabeg and Ballymurn Areas for the benefit of the local community, with a view to furthering and enhancing its social, educational and economic well being.

3. Subsidiary Object(s):

In furtherance exclusively of the foregoing main object, the body shall have the following subsidiary objects: To provide a focal point for the local community residents to come together and participate in a wide range of community and sporting activities; to enhance community interaction and create a more inclusive society for all community members; to provide directly and/or indirectly sports facilities both outdoor and indoor to cater for a wide variety of sports and in particular for such sports as cater for the widest and greatest possible demand in the Crossabeg and Ballymurn areas; to provide meeting rooms and halls to accommodate local interest groups; to provide training and education facilities; to provide health facilities; to provide group facilities for groups such as youth clubs, retirement groups, mother/toddler groups, bible discussion groups, music and drama groups; to provide any buildings which can contribute to the provision of the foregoing facilities.

4. Powers.

To the extent that the same are essential or ancillary to the promotion of the main object of the body as heretofore set out the body may exercise the following powers:

(a) Purchase, take on lease or in exchange, hire or otherwise acquire any real or personal property and any rights or privileges which the Committee may think necessary or convenient with reference to any of these objects or capable of being advantageously dealt with in connection with any of the Committee's property or rights for the time being and in particular any land, buildings, easements, furniture, apparatus and equipment.

(b) Establish and support and aid the establishment and support of any other company, association, society or institution having objects the same as those of this Company.

(c). Acquire and undertake the whole or any part of the business, goodwill, property and assets of any charitable body or persons carrying on or proposing to carry on any school or business which this Committee is authorised to carry on, or possessed of property suitable for the purposes of this Committee, and as part of the consideration for such acquisition to undertake all or any of the liabilities of such charitable body or persons.

(d) Amalgamate with any companies, institutions, societies or associations having objects the same as those of this Committee.

(e) Accept gifts or bequests of, and to hold land or other property including money on trust connected with the object of the Committee and to fulfil such trusts and to accept subscriptions and donations and apply the same generally for the purpose of the Committee.

(f) Enter into any arrangement or contract with any authority, municipal, local or otherwise, or any corporation, company or person, that is within the Committee's objects, or any of them, and to obtain from any such authority, corporation, company or person, any rights, privileges and concessions which the Committee may think desirable and to carry out, exercise and comply with any such arrangements, rights, privileges and concessions.

(g) To enter into any arrangement with any Government or local or other authority that is within the Committee's objects or any of them, to obtain from any such Government or authority any rights, privileges and concessions which the Committee may think it desirable to obtain and to carry out and to exercise and comply with the same.

(h) Borrow or raise or secure the payment of money by mortgage or in such manner as the Committee shall think fit, and for the purposes aforesaid to charge all or any of the Committee's property or assets, present or future and collaterally or further to secure any securities of the Committee by a trust deed or other assurance.

(i) Receive money on loan.

(j) Draw, make, accept, endorse, discount, negotiate and execute, cheques, promissory notes, bills of exchange, bills of lading, warrants, debentures, and other negotiable or transferable instruments.

(k) Invest the moneys of the Committee not immediately required upon such securities as may from time to time be determined, provided that if the Committee shall be granted a charitable exemption by the Revenue Commissioners prior notification will always be given to the Revenue Commissioners where it is intended to accumulate funds over a period in excess of two years for any purpose.

(m) Sell, improve, manage, develop, exchange, lease, mortgage, dispose of or otherwise deal with all or any part of the property and rights of the Committee.

(n) Provide for the welfare of persons using any facilities provided by the Committee by granting money, pensions, or other payments, by making payments towards insurance by purchasing annuities, by providing or subscribing towards medical and other attendance and other assistance, and by contributing to any scheme for the providing of pensions or retiring allowances for such persons whether payable by way of annuity or in one payment or otherwise.

(o) Do all or any of the above things either as principals, agents, trustees, or otherwise and either alone or in conjunction with others and by or through agents, trustees or otherwise.

(p) To employ or engage employees, agents, consultants or professionals and to remunerate such people as may be necessary for the business of the Committeey, subject always to clause 5 below.

(q) Do all such other things as are incidental to or within the attainment of any of the above main objects. Provided that the Committee shall not support with its funds any object or endeavours to impose on or procure to be observed by its members or others any regulation or restriction which if an object of the Committee would make it a trade union.

5. Membership

(a) Membership is open to any person over the age of 18 years who is resident in the Parish of Crossabeg including the Ballymurn part of that Parish ("the Parish"). Every member must abide by the rules of the body as set down in this Constitution or from time to time at general meetings or by the Executive Committee.

(b) Membership shall be granted by the Executive Committee. If membership is refused by the Executive Committee an existing member can propose membership for such a person who has been refused at the following Annual General Meeting and the decision of a simple majority of those entitled to and attending the Annual General Meeting shall be final.

(c) The Executive Committee shall be entitled in special circumstances to admit as a member some person who is not resident in the Parish. Any member shall be entitled to seek expulsion of such member at the following Annual General Meeting and the decision of a simple majority of those entitled to and attending the Annual General Meeting shall be final.

(d) The Executive Committee shall be entitled to expel any member for breaching the rules of the body or other valid and stated reason. That member shall be entitled to seek reinstatement at the following Annual General Meeting and the decision of a simple majority of those entitled to and attending the Annual General Meeting shall be final.

(e) The executive shall fix the membership for each year at the first meeting following the Annual General Meeting and only those who have paid the membership fee shall have the entitlements and privileges of membership once the fee has been fixed.

(f) The assets and facilities of the body shall be applied primarily for the benefit of the members and of the community resident in the Crossabeg and Ballymurn areas but this shall not prevent the Executive Committee from making the assets and facilities available to other parties for a charge or not at the discretion of the Executive Committee, in circumstances or at times where there is not adequate or any demand for those assets and facilities from the members or the community.

(g) Every member shall be entitled to attend, and vote at any general meeting of the body whether annual or extraordinary.

(h) An Annual Meeting shall be held each year and there shall be a maximum of 14 months between Annual General Meetings and a minimum of 10 months.

(i) An Extraordinary General Meeting shall be summoned by the Executive Committee either at its own initiative or on written request by a minimum of 33 1/3% per cent of the membership.

(j) This Constitution can be changed only at a General Meeting by a vote of at least 75% of those members entitled to and attending such meeting.

6. Executive Committee

(a) An Executive Committee shall be elected at each Annual General Meeting of the body and this Executive Committee shall hold office until the subsequent Annual General Meeting or until it is removed by a simple majority of those entitled to and attending an Extraordinary General Meeting prior to that.

(b) The Executive Committee shall run the body and shall hold regular meetings and keep minutes of same.

(c) Any sports organization within the Parish shall be entitled to nominate a member for election to the Executive Committee. The membership shall elect at the Annual General Meeting two members of the Executive Committee from such nominations.

(d) Any youth organization within the Parish shall be entitled to nominate a member for election to the Executive Committee. The membership shall elect at the Annual General Meeting one member of the Executive Committee from such nominations.

(e) Any cultural organization within the Parish shall be entitled to nominate a member for election to the Executive Committee. The membership shall elect at the Annual General Meeting one member of the Executive Committee from such nominations.

(f) Any social organization within the Parish shall be entitled to nominate a member for election to the Executive Committee. The membership shall elect at the Annual General Meeting one member of the Executive Committee from such nominations.

(g) The Membership shall also elect at the Annual General Meeting three further members of the Executive Committee from nominations by the membership in advance of or any the Annual General Meeting.

(h) In the event that the Executive Committee is removed from office prior to the subsequent Annual General Meeting it shall be replaced by a new Executive Committee nominated and elected in accordance with the procedures set out above,

(i) In the event that any member of the Executive Committee dies or resigns the Executive Committee shall have the power to co-opt a replacement to serve until the subsequent Annual General Meeting.

(j) No person shall be entitled to serve on the Executive Committee for more than 3 consecutive years. No person who has served for three consecutive years shall be eligible for re-election during the following two years.

(k) The Executive Committee shall elect its own officers following its appointment at the Annual General Meeting. Each person on the Executive Committee shall have one vote and in the event of an equality of votes the Chairman shall have a casting vote. Where there is an equality of votes for the position of Chairman the names of the leading equal candidates shall be drawn and the first name drawn shall become the Chairman.

7. Trustees

(a) The following persons shall be the initial Trustees of the body namely Nicholas Cowman of Monmore, Crossabeg, Co Wexford, Christopher T. Harvey of Kyle Cottage, Kyle, Crossabeg, Co. Wexford and B McDonald of Killowen, Crossabeg, Co Wexford. .

(b) All assets of the body shall be held by the Trustees for and on behalf of the body.

(c) The Trustees shall hold office for the lifetime of the individual unless he/she resigns or is removed in the manner below.

(d) A Trustee may be removed by vote of not less than 75% of members entitled to and attending at a General Meeting.

(e) A new Trustee to replace an existing Trustee shall be appointed by a simple majority of members entitled to and attending a General Meeting.

(f) The Trustees shall stand indemnified by the body against all claims, liabilities, expenses or costs incurred by them in so acting, and they shall have the right to dispose of any and all assets of the body to enforce such indemnity if necessary.

(g) A Trustee shall be entitled to receive copies of the Minutes of all meetings of the Membership, Executive Committee or any subsidiary committees, together with copies of all accounts and financial statements of the body and the Bank statements if so required. A copy of the up to date insurance policies and receipt for the premium for same shall be sent to the Trustees. The Trustees shall be entitled to insist on an increase in any such insurance cover if they produce a report from a reputable insurance company to the effect that the existing cover is inadequate. If necessary the Trustees may pay any such increase premium and shall be entitled to reimbursement for such a payment from the bodies assets.

8. Income and Property

The income and property of the body, shall be applied solely towards the promotion of its main object as set forth in this Constitution. No portion of the body's income and property shall be paid or transferred directly or indirectly by way of dividend, bonus or otherwise howsoever by way of profit, to the members of the body. No Officer shall be appointed to any office of the body paid by salary or fees, or receive any remuneration or other benefit in money or money's worth from the body. However, nothing shall prevent any payment in good faith by the body of:

a) reasonable and proper remuneration to any member of the body (not being an Officer) for any services rendered to the body;

b) interest at a rate not exceeding 5% per annum on money lent by Officers or other members of the body to the body;

c) reasonable and proper rent for premises demised and let by any member of the body (including any Officer) to the body;

d) reasonable and proper out-of-pocket expenses incurred by any Officer in connection with their attendance to any matter affecting the body;

fees, remuneration or other benefit in money or money's worth to any Company of which an Officer may be a member holding not more than one hundredth part of the issued capital of such Company.

9. Winding-up

If upon the winding up or dissolution of the body there remains, after the satisfaction of all its debts and liabilities, any property whatsoever, it shall not be paid to or distributed among the members of the body. Instead, such property shall be given or transferred to some other charitable institution or institutions having main objects similar to the main objects of the body. The institution or institutions to which the property is to be given or transferred shall prohibit the distribution of its or their income and property among its or their members to an extent at least as great as is imposed on the body under or by virtue of Clause 6 hereof. Members of the body shall select the relevant institution or institutions at or before the time of dissolution, and if and so far as effect cannot be given to such provisions, then the property shall be given or transferred to some charitable object.

10. Additions, alterations or amendments

No addition, alteration or amendment shall be made to or in the provisions of this Constitution for the time being in force unless the same shall have been previously approved in writing by the Revenue Commissioners.

11. Keeping of Accounts

Annual audited accounts shall be kept and made available to the Membership and to the Revenue Commissioners on request.
